These Terms & Conditions (“Terms”) govern your access to and use of the Ops Center partner and referral portal at ops-center.io and related services (the “Service”) provided by Ops Center (“Ops Center,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Accounts are issued by invitation or approval and may not be shared or transferred without our consent.

2. The partner program

• Participation in the referral/partner program is subject to these Terms and any program rules we publish.
• Commissions and downline rates are those configured for your account and may be updated prospectively. Commissions accrue and become payable only for qualifying, verified conversions in good standing.
• Payouts are made using the method and schedule we make available and may be subject to minimum thresholds, verification, and applicable tax reporting. You are responsible for the accuracy of your payout details and for any taxes on amounts you receive.
• We may withhold, adjust, or reverse commissions associated with fraud, chargebacks, refunds, duplicate or self-referrals, or violations of these Terms.

3. Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent referrals, or engage in spam, cookie-stuffing, trademark bidding abuse, or deceptive marketing;
• Misrepresent your relationship with Ops Center or make unauthorized claims on our behalf;
• Access the Service by automated means except as expressly permitted, or attempt to probe, scan, or breach security;
• Interfere with the Service, infringe others’ rights, or violate any applicable law (including marketing, privacy, and consumer-protection laws).

4. Intellectual property

The Service, including its software, design, and content, is owned by Ops Center and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works except as permitted by us in writing.

5. Confidentiality

Non-public information you access through the Service — including partner data, commission structures, and customer information — is confidential. You agree to use it solely to participate in the program and to protect it from unauthorized disclosure.

6. Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may stop using the Service at any time. Upon termination, your right to use the Service ends; accrued, qualifying commissions in good standing as of termination will be paid according to our normal schedule, subject to these Terms.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any particular earnings will result from participation.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPS CENTER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE COMMISSIONS PAID OR PAYABLE TO YOU IN THE THREE MONTHS BEFORE THE CLAIM OR (B) USD $100.

9. Indemnification

You agree to indemnify and hold harmless Ops Center and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your referrals or marketing activities, or your violation of these Terms or applicable law.

10. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Florida will have exclusive jurisdiction over disputes arising from these Terms, unless otherwise required by applicable law.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
